2. Definiciones

• Fotografías: imágenes digitales o físicas detalladas en el Anexo A.
• Celebridad: persona pública cuya imagen es objeto de transacción.
• Derechos de Uso: licencia concedida al Comprador según las condiciones de la cláusula 6.
• 3. Objeto del Contrato
• El Vendedor se obliga a vender y entregar las Fotografías, y el Comprador a adquirirlas, bajo los términos y condiciones establecidos en este documento.
• 4. Precio y Forma de Pago

• Respetar la finalidad y alcance de la licencia contratada.
• No ceder o sublicenciar las Fotografías sin autorización expresa.
• 7. Confidencialidad
• Ambas partes acuerdan mantener en estricta confidencialidad los términos de este contrato y cualquier información técnica o comercial compartida.
• 8. Protección de Derechos de Terceros
• El Vendedor declara haber obtenido los consentimientos y cesiones de derechos de la(s) celebridad(es) fotografiada(s) según la normativa aplicable
• 9. Responsabilidades y Exoneraciones
• El Vendedor no será responsable de usos ilícitos o fuera del alcance de la licencia por parte del Comprador.
• El Comprador asume la responsabilidad de verificar la compatibilidad de las imágenes con normativas de publicidad, derecho de imagen y protección de datos.
• 10. Duración y Terminación
• Este contrato entra en vigor en la fecha de firma y se mantendrá vigente durante la duración de la(s) licencia(s) contratada(s). Cualquiera de las partes podrá rescindirlo por incumplimiento grave, previa notificación escrita con 30 días de antelación
• 11. Legislación y Jurisdicción

• El Comprador se compromete a no utilizar las imágenes de forma que denigre, difame o vulnere la intimidad de las personas retratadas.
• En caso de reclamación por parte de la celebridad, ambas partes colaborarán para resolver el conflicto conforme a la ley
• 7. Protección de Derechos de Imagen
• El Comprador reconoce que el uso de imagen de personas públicas está sujeto a límites legales. Se compromete a:

• No utilizar las imágenes en campañas comerciales sin consentimiento.
